1. Acceptance of Terms

By accessing or using the ShieldBox platform, website, or any related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

These Terms constitute a legally binding agreement between you and ShieldBox Pty Ltd (ABN 12 345 678 900, ACN 123 456 789) ("ShieldBox", "we", "us"), a company incorporated in New South Wales, Australia.

We reserve the right to modify these Terms at any time. Material changes will be notified to registered users via email at least 30 days before taking effect.

2. Description of Service

ShieldBox provides a sovereign encrypted email platform hosted exclusively on servers located within Australia. The Services include email hosting, AI-assisted inbox management, custom domain support, encryption key management, and related features as described on our website.

ShieldBox provides the Services on a software-as-a-service basis. We reserve the right to modify, update, or discontinue features with reasonable notice.

3. Accounts and Registration

You must register for an account to use the ShieldBox Services. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify ShieldBox immediately of any unauthorised use of your account.

You must be at least 18 years of age to create an account. If you are creating an account on behalf of an organisation, you represent that you are authorised to do so.

Each account must be associated with a valid email address. Automated account creation is prohibited.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services to: send unsolicited bulk email (spam); distribute malware, viruses, or other malicious code; harass, threaten, or abuse any person; violate any applicable Australian or international law; infringe the intellectual property rights of any third party; attempt to gain unauthorised access to any part of the Services or any other system.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without prior notice. We will report serious violations to the relevant Australian authorities including the Australian Cyber Security Centre (ACSC) and the Australian Communications and Media Authority (ACMA).

ShieldBox complies with the Spam Act 2003 (Cth). You must not use ShieldBox to send commercial electronic messages without the recipient's consent as defined in that Act.

5. Payment and Billing

Paid plans are billed in Australian Dollars (AUD) including GST. Billing occurs at the start of each billing period (monthly or annually, as selected). All prices are displayed inclusive of 10% GST.

You authorise ShieldBox to charge your nominated payment method for all fees. If payment fails, your account may be suspended after 7 days' notice.

Annual subscriptions are non-refundable except where required by the Australian Consumer Law (ACL). Monthly subscriptions may be cancelled at any time; you will retain access until the end of your current billing period.

ShieldBox may change pricing with 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new price.

6. Data Ownership & Sovereignty

You retain full ownership of all data, content, and information you store in or transmit using ShieldBox ("Customer Data"). ShieldBox claims no ownership rights over Customer Data.

All Customer Data is stored exclusively on servers physically located in Australia. ShieldBox will not transfer Customer Data outside of Australia under any circumstances.

ShieldBox will not access, read, or analyse the content of your emails except where expressly authorised by you (e.g., for AI-assisted features you have enabled), or where required by Australian law.

Upon account termination, you may request export of your data for up to 90 days. After 90 days, Customer Data will be securely deleted in accordance with our data retention policy.

7. Intellectual Property

The ShieldBox platform, brand, and all associated technology, software, and content are the intellectual property of ShieldBox Pty Ltd and are protected by Australian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose in accordance with these Terms.

You must not reverse engineer, decompile, or disassemble any part of the Services, or create derivative works based on the ShieldBox platform.

8. Service Level & Uptime

ShieldBox targets 99.9% monthly uptime for paid accounts. Scheduled maintenance is excluded from this calculation and will be announced at least 48 hours in advance where practicable.

In the event of material service failures, ShieldBox will provide service credits in accordance with our Service Level Agreement (SLA) published at shieldbox.com.au/sla.

9. Limitation of Liability

To the maximum extent permitted by Australian law (including the Australian Consumer Law), ShieldBox's total liability to you for any claim arising out of or relating to these Terms or the Services will not exceed the total fees paid by you in the 12 months preceding the claim.

ShieldBox will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Nothing in these Terms excludes or limits any rights you have under the Australian Consumer Law as a consumer, including guarantees that cannot be excluded by contract.

10. Termination

You may cancel your account at any time via your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

ShieldBox may suspend or terminate your account immediately for material breach of these Terms, non-payment, or in the event your use of the Services poses a risk to other users or the platform.

Upon termination, your right to use the Services ceases immediately. We will retain Customer Data for 90 days to allow export, after which it will be securely deleted.

11. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales for resolution of any dispute.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShieldBox regarding the Services.
